Welcome to Lyncspot. These Terms and Conditions (the "Terms") form a binding legal agreement between you and Lyncspot LLC, a Tennessee limited liability company ("Lyncspot," "we," "us," or "our"), and govern your access to and use of the Lyncspot ecosystem, including any branded community platform operated by one of our Licensees (for example, GT Car Life), and any related marketplace, content, communication, and payment services (collectively, the "Services").

Please read these Terms carefully. By creating an account or using any part of the Services, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.

1. Acceptance & Eligibility

By accessing or using the Services, you represent and warrant that: (a) you are at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater; (b) you have the legal capacity to enter into this agreement; (c) you are not barred from using the Services under applicable law; and (d) if you are using the Services on behalf of an organization, you have authority to bind that organization.

Some features (such as becoming a Vendor or operating as a Licensee) require additional onboarding, identity verification through Stripe, and acceptance of supplemental terms. If you do not agree to these Terms, you may not use the Services.

3. About Lyncspot & the Business Model

Lyncspot LLC operates a multi-tenant ecosystem that enables organizations to launch and run branded community platforms with integrated content, communication, commerce, and live-experience tools. Licensees (such as GT Car Life) use the Lyncspot ecosystem to serve their members; their members may, in turn, apply to become Vendors and earn revenue by selling on the Licensee's marketplace.

Vendors earn revenue when Buyers purchase their offerings. Licensees earn revenue from their share of sales on their branded marketplace and from any subscription or membership fees they choose to set. All payouts are issued through Stripe Connect to the recipient's connected Stripe account on a recurring schedule (typically every 2–7 business days after funds clear and any applicable hold period passes).

3.3 Our Fees & the Payout Process

Lyncspot operates a transparent, multi-tier revenue-share model. For each sale on a Licensee's marketplace, funds flow as follows:

Vendors and Licensees can view a full breakdown of every transaction, including each fee tier, in their respective dashboards. We are committed to complete fee transparency — you will always see what you earn and what is deducted before you confirm any sale.

Subject to your compliance with these Terms, Lyncspot grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for their intended purposes. This license does not include any right to (a) resell, redistribute, or commercially exploit the Services beyond the marketplace functionality we provide; (b) copy, modify, or create derivative works of the Services; (c) reverse engineer, decompile, or attempt to derive source code; (d) use any automated scraping, data-mining, or extraction tools; or (e) circumvent any access controls or rate limits.

7. Fees, Payments & Payouts

By using the Services, you authorize the deduction and distribution of fees as described in Section 3.3. All fees are exclusive of taxes unless otherwise stated. Currency conversion, where applicable, occurs at Stripe's published exchange rates. Payout schedules and minimum payout thresholds are visible in your dashboard and may be adjusted from time to time, with notice, to comply with risk-management or regulatory requirements.

Tax documentation (such as IRS Form 1099-K in the United States) will be issued by Stripe or Lyncspot to eligible recipients in accordance with applicable thresholds and law.

8. Stripe Connect & Linked Accounts

All payments and payouts on the Services are processed by Stripe, Inc., our PCI-DSS Level 1 certified payment partner. Lyncspot does not see, store, or transmit your full card number, CVV, or bank account number.

Our payment architecture uses Stripe Connect:

To act as a Vendor or Licensee, you must agree to the Stripe Connected Account Agreement and the Stripe Services Agreement. Stripe's handling of your information is governed by the Stripe Privacy Policy. Stripe may impose holds, reserves, or limits on payouts to comply with risk-management or regulatory obligations.

9. Refund & Cancellation Policy

9.1 Money-Back Guarantee

Eligible purchases — including digital products, subscriptions, and one-time services sold directly by Lyncspot or a Licensee — come with a 14-day money-back guarantee. If you are not satisfied, you may request a full refund within 14 days of the transaction by emailing support@lyncspot.com or using the in-app refund form.

9.3 Marketplace Purchases (Vendor Goods & Services)

Refunds for items purchased from a Vendor are governed primarily by the Vendor's published refund policy, which must comply with applicable consumer-protection law. Where a Vendor does not publish a policy, the following defaults apply:

Approved refunds are returned to the original payment method through Stripe and typically appear within 5–10 business days. When a refund is issued, the Lyncspot and Licensee fees associated with that transaction are reversed proportionally.

10. Chargebacks & Payment Disputes — Let's Work It Out First

We genuinely want every transaction to end well. If something doesn't feel right about a purchase, please reach out to us first at support@lyncspot.com before filing a chargeback with your bank or card issuer. Most concerns — whether about a refund, a delivery issue, or an unexpected charge — can be resolved quickly and amicably through our support team, often within 1–3 business days.

Chargebacks are time-consuming and costly for everyone involved, including the Vendors who rely on this platform for their livelihood. Working with our support team directly is faster, friendlier, and usually leads to a better outcome for you. We'll do our best to make it right.

If a chargeback is filed and we determine it was made in error (for example, the Buyer received what they purchased and didn't request a refund first), we may share supporting documentation with the card network. We reserve the right to recover associated chargeback fees from the disputed amount, but we always prefer the conversation over the dispute.

11. User Content & Conduct

You are solely responsible for any Content you submit, post, or display through the Services. By submitting Content, you represent that you own it or have all necessary rights to use it and to grant the licenses described in Section 12.

We may remove Content that violates these Terms and may suspend or terminate accounts of repeat or serious offenders. We are not obligated to monitor Content but reserve the right to do so.

12. Grant of Rights OPTIONAL / OPT-IN

This section is optional and opt-in. Lyncspot only seeks rights in your Content to the minimum extent necessary to operate the Services. You may opt in to broader promotional uses through your account settings, and you may revoke that opt-in at any time without affecting your ability to use the platform.

By posting or uploading Content to the Services, you grant Lyncspot and the applicable Licensee a limited, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute that Content solely as necessary to operate the Services and make your Content available to other users in the way you intend (for example, displaying your post in a feed or your product listing in the marketplace).

We will not use your Content for advertising, marketing, or promotional purposes outside the platform unless you have opted in via your account settings. You retain all ownership of your Content, and the license terminates when you delete the Content or close your account, except where retention is required by law or to complete pending transactions.

13. Prohibited Businesses & Activities

Consistent with the Stripe Restricted Businesses list and applicable law, you may not use the Services to offer, facilitate, or promote:

14. Intellectual Property

The Services — including all software, designs, text, graphics, logos (including the Lyncspot logo and the "Unite · Connect · Grow" tagline), trademarks, and the look and feel of the platform — are owned by Lyncspot LLC or its licensors and are protected by U.S. and international copyright, trademark, and other intellectual-property laws. Licensee branding and marks remain the property of the respective Licensee. No rights are granted to you except as expressly set forth in these Terms.

16. Disclaimer of Warranties

The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Lyncspot does not warrant that the Services will be uninterrupted, secure, or error-free, or that any Content will be accurate or reliable. Some jurisdictions do not allow the exclusion of certain warranties; in such jurisdictions, the foregoing exclusions apply only to the extent permitted by law.

17. Limitation of Liability

To the maximum extent permitted by law, Lyncspot and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, use, or goodwill, arising out of or in connection with your use of the Services, even if advised of the possibility of such damages.

In no event shall Lyncspot's aggregate liability to you for all claims relating to the Services exceed the greater of (a) the total fees paid by you to Lyncspot in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow these limitations; in such jurisdictions, our liability is limited to the greatest extent permitted by law.

18. Indemnification

You agree to indemnify, defend, and hold harmless Lyncspot, its Licensees, and their respective affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Services; (b) your Content; (c) your violation of these Terms or applicable law; or (d) your infringement of any third-party right.

19. Data Security & Privacy

We use industry-standard administrative, technical, and physical safeguards to protect your information, including TLS encryption in transit, encryption at rest, PCI-DSS Level 1 compliance through Stripe, tokenization of payment instruments, role-based access controls, multi-factor authentication for administrative accounts, and continuous security monitoring.

Our collection and use of personal data are described in our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains how we comply with the GDPR, UK GDPR, CCPA/CPRA, and other applicable privacy laws, and how you can exercise your rights of access, correction, deletion, portability, and objection.

Lyncspot is committed to complying with applicable laws and requires the same of its Users, Vendors, and Licensees, including:

21. Dispute Resolution Process

If a disagreement arises between you and Lyncspot, between you and a Licensee, or between a Buyer and a Vendor, we follow a structured, good-faith process designed to resolve issues efficiently and fairly.

Step 1 — Direct Contact (Days 0–7)

Contact our support team at support@lyncspot.com with a clear description of the issue, relevant transaction IDs, and any supporting screenshots or documents. We aim to acknowledge within 1 business day and provide an initial response within 3 business days.

Step 2 — Internal Mediation (Days 7–21)

If the issue isn't resolved through initial support, it is escalated to our Disputes & Trust team. For marketplace transactions, both Buyer and Vendor are invited to share their perspective. The team reviews transaction records, communications, and policies, then issues a written determination within 14 days of escalation. Where appropriate, we may facilitate a partial or full refund, reissue a service, or take other corrective action.

Step 3 — Formal Escalation (Days 21+)

If a party remains dissatisfied, the matter may be escalated to formal alternative dispute resolution. The parties agree to first attempt non-binding mediation administered by a neutral mediator (such as JAMS or the American Arbitration Association). If mediation does not resolve the matter within 60 days, the dispute may be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in English, with the seat of arbitration in Wilmington, Delaware, unless otherwise required by mandatory consumer-protection law in your jurisdiction.

Class-Action Waiver & Exceptions

To the extent permitted by applicable law, you agree to bring claims only in your individual capacity and not as part of a class or representative action. Nothing in this section prevents you from contacting a consumer-protection authority, filing a small-claims action in your local court, or exercising any non-waivable statutory right.

22. Suspension & Termination

You may close your account at any time from your account settings. We may suspend or terminate your access to the Services, with or without notice, if we reasonably believe you have violated these Terms, applicable law, or our community standards, or if we are required to do so by law or by Stripe.

Upon termination: (a) your right to use the Services ends immediately; (b) we may delete your account and Content, subject to legal retention requirements; (c) pending Vendor payouts will be processed in accordance with Stripe's procedures and any applicable holds; and (d) provisions that by their nature should survive (including IP, disclaimers, liability, indemnification, and dispute resolution) will survive.

23. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page and, for material changes, notify you by email or through an in-app notice at least 30 days before the change takes effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms. If you do not agree, your remedy is to stop using the Services.
